Concept Clutch – Terms and Conditions

1. Introduction and Scope

Welcome to Concept Clutch (“Platform”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (the “User”, including students, parents/guardians, and tutors) and Concept Clutch, and govern your access to and use of the Concept Clutch website, associated services, features, and resources offered through our platform.

By accessing or using the services offered by Concept Clutch, you agree to comply with and be bound by these Terms in their entirety, including all guidelines, policies, notices, and disclaimers incorporated herein by reference.

These Terms apply globally — to all users, regardless of their country of access. Concept Clutch operates as a global platform offering academic support and tutoring services across international borders. While headquartered in India, our services are intended for users worldwide, subject to local laws.

2. Definitions

For clarity and interpretation within this document, the following definitions apply:

● “User”: Refers to any individual or entity accessing the Concept Clutch platform, including but not limited to students, parents or guardians, tutors, and administrative users.

● “Student”: Refers to the individual receiving tutoring services, either directly or through a guardian/parent account.

● “Tutor”: Any individual formally associated with Concept Clutch who provides educational sessions under contract or employment.

● “Session”: A scheduled one-on-one or group educational interaction between a student and tutor, conducted online via video conferencing platforms like Zoom or Google Meet.

● “Account”: A registered profile on Concept Clutch, created by a User to access platform services.

● “Subscription”: The payment plan opted by a student or guardian for receiving a set number of tutoring sessions per month.

● “Services”: The educational, administrative, and technical support offerings made available through the Concept Clutch platform.

3. Purpose and Nature of the Platform

Concept Clutch is designed to facilitate personalized online tutoring services to students across various educational levels. The platform bridges students and qualified tutors using technology-enabled services to ensure quality education is delivered in a flexible, one-on-one format.

We do not operate as an open marketplace. Tutors are employed, trained, and governed directly by Concept Clutch. All session assignments, scheduling, rescheduling, and evaluations are centrally managed by the Concept Clutch team. We act as an intermediary between the student/parent and the tutor, ensuring quality, transparency, and trust.

4. Acceptance of Terms

By using our platform, creating an account, booking a session, attending a class, or accessing any content on Concept Clutch, you signify your agreement to these Terms. This agreement is valid from the moment you begin using our services and will continue until your usage is terminated by either party as per the conditions outlined herein. If a user is under the age of 18, a parent or legal guardian must review these Terms and provide consent before the child accesses the services. We reserve the right to suspend or delete accounts if we discover that such consent is not in place.

5. Account Registration and User Responsibility

Users are required to register by providing accurate, current, and complete information including full name, phone number, email address, student grade, and academic preferences. You must ensure that the information submitted remains updated and accurate at all times.

By registering, you agree to:

● Maintain confidentiality of your account credentials.

● Be fully responsible for all activities conducted through your account.

● Immediately inform Concept Clutch if you suspect any unauthorized access or security breach.

Students or parents are not permitted to share login credentials or contact tutors directly outside the Concept Clutch platform. Such activities are considered a breach of trust and a violation of this agreement.

6. Availability and Accessibility of Services

Concept Clutch offers tutoring services primarily on a subscription basis. The following rules apply:

● Sessions are conducted strictly online using secure video conferencing tools.

● All sessions are scheduled based on mutual availability of the tutor and student and managed via Concept Clutch’s backend.

● Users cannot directly book sessions via the platform interface. All requests for scheduling or changes must be routed through our coordination team.

● Tutors are located worldwide and assigned according to subject expertise, student grade, and preferred time zones. We operate across Indian and international time zones.

Every session is one-on-one by default, unless a group class is requested and approved. Group classes may have different pricing and guidelines which will be communicated in advance.

7. Session Monitoring and Recording

To maintain educational quality, safety, and transparency:

● All sessions conducted on the platform are recorded from start to finish.

● These recordings are securely stored and reviewed periodically for quality control, compliance, and resolution of disputes, if any.

● By using our platform, both students and tutors expressly consent to this recording policy. The recordings are for internal use only and will not be shared without explicit consent unless required by law.

8. Communication Policy and Intermediary Role

Concept Clutch operates as the sole intermediary between students (or their parents) and tutors. Direct communication between the two parties outside the session environment (e.g., via phone, personal WhatsApp, personal email, etc.) is not allowed unless authorized by Concept Clutch.

All communication regarding rescheduling, session concerns, or academic assistance outside of scheduled class time must be routed through the official platform or via Concept Clutch support.

This ensures transparency, professionalism, and security of all parties involved.

9. Session Management and User Commitments

9.1 Session Scheduling

All tutoring sessions are scheduled through Concept Clutch's internal scheduling system, based on mutual availability of the student and the assigned tutor. We do not currently allow self-booking or calendar access to users; instead, a coordination process is managed by our team to ensure the best match and timing for both parties.

Each subscription includes a defined number of classes (minimum 8 sessions per month), and users are encouraged to finalize their preferred time slots at the beginning of each cycle. While Concept Clutch makes every effort to provide consistent scheduling, availability is subject to tutor workload and time zone constraints.

9.2 Session Cancellation by Users (Students/Parents)

We understand that unforeseen circumstances may arise. Users may cancel a session without any penalty if a minimum of 12 hours’ prior notice is given. Such sessions will be rescheduled, and no deduction will be made from the subscription plan.

If a user cancels with less than 12 hours’ notice or does not show up for a scheduled session (i.e., a "No Show"), the session will be considered "Completed", and no refund or rescheduling will be allowed for that session.

Repeated cancellations without valid reason may be subject to review, and Concept Clutch reserves the right to issue a warning or terminate the subscription if misuse is suspected.

9.3 Session Cancellation by Tutors

Tutors are also required to inform the platform at least 12 hours prior if they are unable to attend a scheduled session. If a tutor misses a class without sufficient notice, Concept Clutch will attempt to arrange a make-up session or a replacement tutor.

Further, tutors will be financially penalized (up to 75% of the hourly rate) for sessions missed without notice, to ensure accountability and continuity of education for students.

9.4 Rescheduling

All rescheduling requests must be submitted via email or platform message at least 12 hours prior to the session. The Concept Clutch team will coordinate and confirm new timings, subject to tutor availability. While we strive to accommodate every reschedule request, availability and time zone differences may affect the turnaround time.

10. Refunds, Free Trials, and Subscription Model

10.1 Subscription Billing

Concept Clutch operates on a prepaid subscription model. Users can subscribe to tutoring plans (minimum of 8 sessions/month) and must pay in advance through our Razorpay payment gateway.

Each session in the plan is of 1-hour duration unless otherwise agreed in writing. All payments made are exclusive of applicable taxes; GST and other taxes (as per Indian law or the user’s jurisdiction) will be added at checkout.

10.2 Refund Policy

We offer a 100% refund if cancellation is requested within 24 hours of making the initial payment, provided that no sessions have been conducted. Refunds will be processed to the original payment method within 7–10 business days.

Beyond 24 hours, refunds are not offered unless there are service quality issues documented and reviewed by the Concept Clutch team. In such cases, partial refunds may be granted on a discretionary basis. Refunds are not applicable for:

● Missed sessions due to late cancellations or no-shows.

● Sessions marked “Completed” as per platform policy.

● Unused sessions after a subscription cycle ends.

10.3 Free Demo Classes

New students are entitled to one free trial session before subscribing. This session will be conducted by an assigned tutor and coordinated by our team. The purpose is to assess learning compatibility and comfort.

A second free demo may be considered upon request but is subject to tutor availability and management approval.

11. Performance Monitoring and Recordings

To maintain the highest standards of quality and transparency, Concept Clutch records every session from beginning to end. By continuing to use our platform, both tutors and students explicitly consent to this recording policy.

Recordings are used for:

● Monitoring tutor performance.

● Resolving disputes or complaints.

● Internal audits and evaluations.

● Training and feedback purposes.

Recordings are not shared publicly and are stored securely in encrypted environments, accessible only to authorized personnel.

12. Code of Conduct

12.1 For Students and Parents

All users must adhere to respectful and ethical communication standards during and outside of sessions. Users must not:

● Record the session locally or distribute its content.

● Harass or abuse the tutor verbally or in writing.

● Attempt to communicate directly with tutors outside the platform.

● Share misleading or incorrect information with the platform.

Any breach of decorum or platform trust may lead to warnings, temporary suspensions, or permanent termination.

12.2 For Tutors

Tutors are bound by strict professional standards, including:

● Always keeping their camera and microphone on during sessions.

● Delivering lessons using a stable internet connection (minimum 10 Mbps) and a functional computer.

● Preparing personalized notes and materials for the class.

● Never assigning someone else to teach in their place.

● Not contacting the student or parent directly outside of scheduled sessions.

● Not sharing or discussing their remuneration or platform policies with students or parents.

● Treating all platform materials and communications as confidential.

● Not making any public statements or social media posts related to Concept Clutch without prior written approval.

13. Contract Termination

13.1 By the User

Users may terminate their subscription at any time by notifying Concept Clutch in writing. However, refunds for unused sessions will be considered only if the request meets the refund criteria above.

13.2 By Concept Clutch

We reserve the right to terminate or suspend any user or tutor account:

● In the event of policy violation or breach of terms.

● Due to misconduct, repeated cancellations, or quality concerns.

● If deemed necessary for legal, safety, or business continuity reasons.

Tutors must serve a 30-day notice period upon resignation and must continue teaching scheduled classes during this period. Before their departure, they must ensure all sessions are completed and they have no further availability listed. We may terminate a tutor’s contract immediately in cases of:

● Inappropriate behavior.

● Continuous poor performance or low student ratings.

● Breach of confidentiality or communication policy.

● Repeated no-shows (exceeding 5% monthly).

14. Intellectual Property and Confidentiality

14.1 Ownership of Content

All materials, resources, course content, session recordings, web pages, logos, brand identifiers, marketing material, pricing structures, and platform-specific tools or interfaces are the exclusive intellectual property of Concept Clutch. Any unauthorized use, reproduction, distribution, or modification of this content, in part or whole, without prior written permission, is strictly prohibited and may invite legal action.

Tutors, students, or any platform user are not allowed to repurpose or redistribute any of the teaching materials created or facilitated by Concept Clutch for use outside the platform without explicit consent.

14.2 Confidentiality Obligations

All users — including tutors, students, and parents — agree to treat all information related to Concept Clutch as strictly confidential. This includes:

● Internal operational procedures

● Pricing models and compensation structures

● Tutor assignment policies

● User or tutor personal information

● Session content and feedback mechanisms

Tutors must particularly refrain from making any public statements about Concept Clutch, its users, policies, or internal matters, whether online or offline, without formal written consent.

Any breach of confidentiality may lead to immediate termination and potential legal action.

15. Limitation of Liability

While Concept Clutch is deeply committed to ensuring a safe, enriching, and reliable experience, there are certain limitations to our responsibilities:

● We shall not be held liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services, including delays, missed sessions, platform outages, or tutor/student cancellations.

● Tutors and users are responsible for maintaining their own equipment and internet connectivity. Concept Clutch cannot be held accountable for poor session quality due to local device/internet issues.

● Any external links or tools used during the class (like Google Meet or Zoom) are governed by their respective privacy and security policies. We do not guarantee the performance or safety of third-party tools.

In no event shall our total cumulative liability exceed the amount paid by a user for the specific plan under dispute.

16. Indemnification

By agreeing to these Terms, you (the user, tutor, or student) consent to indemnify and hold harmless Concept Clutch, its directors, employees, partners, affiliates, and contractors from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of:

● Your use or attempted use of the platform in violation of these terms;

● Your violation of any applicable laws or third-party rights;

● Your failure to maintain the confidentiality of any login or platform-related information.

17. Dispute Resolution and Governing Law

In the rare event of a dispute between you and Concept Clutch, we strongly encourage dialogue and resolution through mutual discussion. However, if a resolution cannot be reached:

● All legal matters shall be governed by and interpreted in accordance with the laws of India, without regard to any conflict of law principles.

● Any disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

● Users waive any objection to the venue and jurisdiction based on inconvenience or other grounds.

18. Force Majeure

Concept Clutch shall not be held responsible for failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to:

● Natural disasters

● Internet outages or cyber attacks

● Regulatory or legal actions

● Political unrest

● Pandemic or epidemic disruptions

Such circumstances will not constitute a breach of agreement.

19. Modification and Updates

We reserve the right to modify or update any part of these Terms and Conditions at any time. All changes will be posted on this page, and users will be notified where appropriate. Continued use of the platform after changes implies acceptance of the revised terms.

By continuing to use Concept Clutch, you agree to abide by these terms in full. These terms serve as a binding agreement between the user and Concept Clutch, and override any verbal or written understanding not reflected herein.
